Special comment period addresses separation of OPTN, contractor boards of directors

The Organ Procurement and Transplant Network (OPTN) seeks feedback on a proposed bylaw amendment to address the role of the OPTN Board of Directors as a separate entity from the board of directors of the OPTN contractor. Members of the current OPTN Board also serve on the board for the current OPTN contractor, an arrangement codified in the current bylaw (the full OPTN Bylaws are available here). This proposal aligns with the stated objectives of the Health Resources and Services Administration (HRSA) in its OPTN Modernization Initiative to create an OPTN Board of Directors independent from other OPTN contractors.

The proposed bylaw would clarify that no member of the OPTN Board of Directors, with the exception of the OPTN Executive Director, may be an employee or director of any organization contracted to support the OPTN. The OPTN Board of Directors seeks to make this bylaw effective March 30, 2024.
